INVESTMENT CASE

The Company was originally acquired in 2001 by the Directors (Jeremy Cary, James Agnew and Keith Hester), and has grown consistently through a combination of strong organic strategy and targeted acquisitions. Synova has engaged with the shareholders since 2012, building a strong and trusted relationship, which was fundamental to unlocking the transaction. Despite executing a series of successful acquisitions, a revised capital structure was required in order to allow for the retirement of Keith Hester and the appointment of a new CEO, Tim Johnson.

GROWTH STRATEGY

Synova’s investment will support the Management’s plans to increase the volume and value of future acquisitions. A number of additional organic opportunities exist within the plan, which include increased penetration of the ultra-high net worth market; developing additional sector specialisms (particularly in the commercial lines insurance market); introducing new strategic partnerships; and expanding distribution channels.
